By accessing or using ListingCopilot.io (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including agents, brokers, and any other individuals or entities who access the Service.

2. Description of Service

ListingCopilot.io provides a platform for real estate professionals to create, manage, and share listing disclosure packages. The Service includes AI-powered document analysis, buyer analytics, and collaboration tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Upload content that is unlawful, fraudulent, or infringes on third-party rights
  • Misrepresent property conditions or disclosures to buyers
  • Circumvent any security or access controls
  • Scrape, crawl, or extract data from the Service in an automated manner
  • Resell or sublicense access to the Service without written permission
  • Violate any applicable real estate laws, regulations, or professional obligations

5. Content and Intellectual Property

5.1 Your content

You retain ownership of all documents, photos, and other content you upload to the Service (“Your Content”). By uploading content, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

5.2 Our intellectual property

The Service, including its design, features, AI models, and underlying technology, is owned by ListingCopilot.io and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

6. AI Features and Limitations

The Service includes AI-powered analysis of documents including inspection reports and disclosures. You acknowledge that:

  • AI analysis is provided for informational purposes only and does not constitute legal, financial, or professional advice.
  • AI outputs may contain errors or omissions. You are responsible for independently verifying any AI-generated summaries or flags before relying on them.
  • You remain solely responsible for the accuracy and completeness of disclosures provided to buyers.
  • AI features are subject to change and may not always be available.

7. Subscription and Billing

  • Paid plans are billed monthly or annually in advance.
  • All fees are non-refundable except as required by law or explicitly stated in a promotional offer.
  • We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
  • Failure to pay may result in suspension or termination of your account.
  • Free plan features may be changed or removed at any time.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTINGCOPILOT.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ListingCopilot.io and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Termination

Either party may terminate your account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases. We may retain certain information as required by law or for legitimate business purposes.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco, California.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
